This End User License Agreement (“Agreement”) is a legal contract between you (“User,” “You”) and MPINC, operating as BatchInvoice.co (“BatchInvoice,” “We,” or “Us”). By accessing or using BatchInvoice.co, including connecting your accounting software (such as QuickBooks Online or Xero), you agree to be bound by this Agreement. If you do not agree, do not use the Service.
1. Description of the Service
BatchInvoice provides tools that allow users to:
- Create invoice drafts using text or voice input
- Automatically structure and categorize invoice data
- Match customers, items, and other accounting records
- Sync invoices and related data with supported accounting platforms (such as QuickBooks Online or Xero)
- Store invoice drafts and history in a user dashboard
BatchInvoice is not an accounting service, does not provide tax or financial advice, and does not replace professional bookkeeping.
2. Eligibility
You must:
- Be at least 18 years old
- Have authority to bind your company
- Use BatchInvoice in compliance with applicable laws
If you connect a third-party accounting platform, you represent that you have the right to grant BatchInvoice access to that account.
3. License Grant
BatchInvoice grants you a revocable, non-exclusive, non-transferable, limited license to access and use the Service solely for your internal business purposes.
You may not:
- Reverse engineer, copy, or modify the Service
- Use the Service for competitive analysis
- Exceed rate limits or abuse automated features
- Use the Service to create harmful, fraudulent, or misleading invoices
4. Account Connection & OAuth Authorization
If you choose to connect your accounting platform (e.g., QuickBooks Online or Xero), you authorize BatchInvoice to:
- Read accounting data such as customers, vendors, items, and company information
- Create invoices and related records on your behalf
- Store necessary access tokens in a secure manner
BatchInvoice will never take actions in your accounting system without your explicit approval inside the application.
You may revoke access at any time via:
- The BatchInvoice Settings page
- Your accounting platform’s app management dashboard
Revoking access may limit or stop certain features of the Service.
5. User Responsibilities
You are responsible for:
- The accuracy of all data entered into BatchInvoice
- Reviewing drafts before approval
- Ensuring correct invoice amounts, taxes, dates, and descriptions
- Maintaining your accounting platform’s configuration
BatchInvoice does not guarantee the financial or legal correctness of invoices generated through the Service.
6. AI & Automated Processing
BatchInvoice uses automated systems and artificial intelligence to:
- Interpret voice and text commands
- Extract customers, items, quantities, rates, and dates
- Suggest or create missing items
- Standardize invoice structure
YOU ACKNOWLEDGE THAT:
- AI output may be imperfect and requires review
- You are responsible for verifying accuracy before sending invoices
- BatchInvoice is not liable for errors from misinterpretation or incorrect input
7. Subscription & Billing
Some features require a paid subscription. By upgrading, you agree that:
- Fees are billed monthly or annually
- Payments are non-refundable unless required by law
- Subscription automatically renews unless canceled
- Cancelation stops future charges but does not refund past charges
- Billing is handled through a third-party provider (e.g., Stripe)
8. Data Storage and Retention
BatchInvoice stores:
- Invoice drafts
- Items and customers associated with drafts
- Session and usage data
- OAuth tokens required for platform sync
- Analytics and operational logs
We retain data only as necessary to operate the Service or as required by law. Details are provided in the Privacy Policy.
9. Third-Party Services
BatchInvoice integrates with third-party services such as:
- QuickBooks Online (Intuit)
- Xero
- Other accounting platforms
- Cloud storage or communication tools
These third-party services have their own terms, which govern your use of their platforms. BatchInvoice is not responsible for their actions or data handling.
10. Availability & Support
We strive for continuous availability but do not guarantee:
- Uninterrupted service
- Error-free operation
- Immediate customer support
We may modify, suspend, or discontinue parts of the Service at any time.
11. Termination
We may suspend or terminate your access if:
- You violate this Agreement
- You misuse or overload the Service
- Required third-party access is revoked
- We discontinue the Service
Upon termination:
- Your license ends immediately
- You remain responsible for outstanding fees
- Access to your drafts and data may be limited
12. Limitation of Liability
To the maximum extent permitted by law:
- BatchInvoice is not liable for lost profits, lost revenue, or consequential damages
- BatchInvoice’s total liability shall not exceed the amount you paid in the last 3 months
- You assume full responsibility for the use of any invoices generated through the Service
13. Disclaimer
BatchInvoice is provided “as-is” without warranties of any kind. We do not warrant that:
- Drafts will be correct or compliant
- AI will interpret input accurately
- Integration with QuickBooks or other platforms will always be available
14. Indemnification
You agree to indemnify and defend BatchInvoice from claims arising out of:
- Your use of the Service
- Incorrect, unlawful, or fraudulent invoices
- Misuse of third-party platform access
- Violations of this Agreement
15. Changes to the Agreement
We may update this Agreement from time to time. Continued use after updates constitutes acceptance of the new terms.
